ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On November 3, 2008, Interline Brands, Inc., a Delaware corporation (NYSE: IBI) (the "Company") issued a press release announcing its financial results for the fiscal quarter ended September 26, 2008. The press release is furnished as Exhibit 99.1 to this report.
