On October 31, 2008, the registrant issued a press release reporting its financial results for the period ended September 30, 2008. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.

On October 31, 2008, the registrant issued a press release reporting declaration of a reduced fourth quarter cash dividend of $0.105 per share. The dividend is to be paid on December 15, 2008 to shareholders of record November 28, 2008.
