(d) On October 28, 2008, the Board of Directors of the Company appointed G. Hank Brown as a director of the Company, effective immediately. Mr. Brown was also appointed by the Board to serve as a member of the Board's Compensation, Nominating and Governance Committee, effective immediately. The Board also affirmatively determined that Mr. Brown meets the independence requirements of the NASDAQ listing standards.
