Item 8.01. Other Events

On November 3, 2008, American Physicians Capital, Inc. announced in a press release that the Company's Board of Directors has authorized changes to the 2008 Rule 10b5-1 Plan. The Plan was originally scheduled to expire on December 31, 2008. The Board has authorized extending the 2008 Plan into 2009 and will expire only after all of the allocated dollars in the Plan have been used. The related press release is attached hereto as Exhibit 99.1 and incorporated herein as referenced.
