Item 2.02 Results of Operations and Financial Condition.

On October 30, 2008, SBA Communications Corporation issued a press release announcing its financial and operational results for the third quarter ended September 30, 2008, providing its fourth quarter 2008 guidance, updating its full year 2008 guidance and providing its full year 2009 guidance. A copy of the press release is furnished as Exhibit 99.1.
