On October 28, 2008, Hampden Bancorp, Inc. (the "Company"), the holding company for Hampden Bank, announced its financial results for the three months ended September 30, 2008. Item 8.01. Other Events

On October 28, 2008, the Company issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $0.03 per common share, payable on November 26, 2008, to stockholders of record at the close of business on November 12, 2008. A copy of the press release announcing the declaration is attached as Exhibit 99.1.
