Retirement of Trustee
On October 28, 2008, First Potomac Realty Trust (the "Company") received notice
that Louis T. Donatelli will retire from the Board of Trustees of the Company
(the "Board") on November 1, 2008, his 75th birthday. The age limit for trustees
in the Company's Corporate Governance Guidelines would have prevented
Mr. Donatelli from standing for reelection at our 2009 annual meeting of
shareholders.
