Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 24, 2008, Keith Rosenbloom, who has served as a director of Pet DRx
Corporation (the "Company") since January 10, 2008, informed the Company that he
will not stand for re-election to the Board of Directors (the "Board") of the
Company at the Company's 2008 Annual Meeting of Stockholders (the "2008 Annual
Meeting") in order to focus his attention on his duties as the Managing Member
of CARE Capital Group. Mr. Rosenbloom will continue to serve as a member of the
Board until the 2008 Annual Meeting.
