Item 2.02. Results of Operations and Financial Condition.

On October 28, 2008, RTI Biologics, Inc. issued a press release announcing its financial results for the quarter ended September 30, 2008. A copy of this press release is furnished herewith as Exhibit 99.1.

Item 5.02. Departure of Certain Officers.

As contemplated in the merger with Tutogen Medical and with the Company's integration of Tutogen Medical nearing completion, Guy L. Mayer, currently President of the Company, has announced that he will transition to the role of consultant, effective February 27, 2009. Mr. Mayer will continue to serve as a member of the Company's board of directors.
