Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory arrangements of Certain Officers

Effective November 1, 2008, Mr. Smith will assume the role of CEO/President formerly occupied by Mr. Amerson, who will remain as our Chairman. Mr. Smith's salary is increased to $350,000 per year, which was the salary we paid Mr. Amerson as our CEO/President. Mr. Amerson will continue to be paid his annual base salary of $350,000 under his existing employment agreement, which terminates in 2010.
