ITEM 2.02 Results of Operations and Financial Condition.

On October 28, 2008, The Estée Lauder Companies Inc. (the "Company") issued a press release announcing its financial results for the fiscal quarter ended September 30, 2008. The release also includes the Company's estimates related to its fiscal 2009 second quarter and full year net sales and diluted net earnings per common share. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
