Entry into a Material Definitive Agreement, Amendments to Articles of Inc. or B
On October 20, 2008, the Board of Directors of MeadWestvaco Corporation (the "Company") approved the adoption of indemnification agreements between the Company and each member of the Board and officer of the Company confirming the rights extended to such director or officer by the indemnification and reimbursement provisions of the Company's Bylaws.
A copy of the form of the indemnification agreement is filed as Exhibit 99.1.
On October 20, 2008, the Board of Directors of MeadWestvaco Corporation (the
"Company") amended the Company's Bylaws in accordance with the provisions of
Section 7.8 of such bylaws as follows.
(1) Article I of the Bylaws, Section 1.11 has been revised to read as follows:
