Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 22, 2008, the Board of Directors (the "Board") of ICO, Inc. (the "Company") elected Eugene R. Allspach to the Board, effective October 22, 2008, for a term that expires at the Company's 2010 annual meeting of shareholders. Mr. Allspach was elected to fill the vacancy on the Board resulting from the resignation of Phillip D. Ashkettle, which resignation became effective on August 27, 2008. The Company issued a press release after the close of market on October 23, 2008 announcing the election of Mr. Allspach and summarizing his background and qualifications, which is included as Exhibit 99.1 and incorporated by reference into this Item 5.02.
