Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Our board of directors has appointed two additional directors to serve on the
company's board, Krish A. Prabhu, Ph.D. and David A. Roberts. Each will serve
initial terms beginning on November 1, 2008 and expiring on the date of our next
annual shareowner's meeting, which is currently planned for March 4, 2009. In
accordance with our bylaws, they will each stand for election by our shareowners
at that time. Both Dr. Prabhu and Mr. Roberts also will be appointed to serve on
one or more committees of the board after the commencement of their term on the
board.
