Item 1.01. Entry into a Definitive Material Agreement

By letter dated August 27, 2008, Bank of America, N.A. ("Bank of America") notified Air T, Inc. (the "Company") that Bank of America had extended the availability period to August 31, 2010 for the $7,000,000 revolving line of credit under the Loan Agreement dated September 18, 2007 (the "Loan Agreement") between Bank of America and the Company and that the remaining terms and conditions of the Loan Agreement remain in full force and effect.
