(b) Departure of Certain Officers
On October 15, 2008, Frederick Quandt gave notice of resignation from his
position as Senior Vice President-Merchandising for Golfsmith International
Holdings, Inc. (the "Company") effective October 28, 2008. The Company does not
expect to hire or appoint a replacement for Mr. Quandt at this time and has
assigned his duties to other members of the executive team.
