Item 8.01 Other Events.

On October 16, 2008, Copano Energy, L.L.C. issued a press release announcing that its Board of Directors has declared a cash distribution for the third quarter of 2008 of $0.57 per common unit, or $2.28 per common unit on an annualized basis, for all of its outstanding common units. The distribution will be payable on November 14, 2008, to common unitholders of record at the close of business on November 3, 2008.
