Dividend Declared
This Current Report on Form 8-K includes as an exhibit a press release, dated October 14, 2008, reporting that the Board of Directors of CIT Group Inc. declared a cash dividend in the amount of $.10 per share for the quarter ended September 30, 2008 on the Company's common stock, payable on November 28, 2008 to shareholders of record on November 14, 2008.
The Company's Series A and Series B preferred stock restrict the payment of dividends if the Company's rolling four-quarter fixed charge coverage ratio is less than 1.10; however, in that event, the Company can satisfy dividend payments with the net proceeds from the sale of common stock. Since the Company's rolling four quarter fixed charge coverage ratio is currently below 1.10, the Board of Directors has authorized the Company, and the Company announced its intention, to issue and sell approximately $8 million of common stock to pay the quarterly dividend on its preferred stock in December. The press release is attached as Exhibit 99.2.
