Item 8.01 Other Events.

Pursuant to Section 9.01 of the Indenture dated as of October 1, 2000, between SLM Corporation (the "Company") and The Bank of New York Mellon, National Association, as successor to J.P. Morgan Chase Bank, National Association, as trustee (the "Trustee"), on October 15, 2008, the Company and the Trustee entered into a Sixth Supplemental Indenture (the "Sixth Supplemental Indenture), dated as of October 15, 2008, in connection with the Company's Medium Term Note Program, Series A, under the Company's registration statement on Form S-3 (File No. 333-130584). The Company is filing herewith the Sixth Supplemental Indenture.
