Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 3, 2008, the Board of Directors of FMC Technologies, Inc. named Peter
D. Kinnear as Chairman of the Board of Directors, effective immediately. Mr.
Kinnear, who will continue as President and CEO, succeeds Joseph H. Netherland
who served as Chairman from March 2007 until his resignation on October 3, 2008.
Mr. Netherland will continue to serve as a non-independent, Class III member of
the Board of Directors.
