ITEM 8.01 OTHER EVENTS
On September 30, 2008, Ashford Hospitality Trust, Inc. (the "Company") entered into a LIBOR interest rate cap with a notional amount of $800 million at a rate of 3.75% for approximately $1.8 million. The transaction summary is attached hereto as Exhibit 99.1.
