ITEM 8.01. OTHER EVENTS.
On October 6, 2008, Eli Lilly and Company (the "Company") issued a press
release announcing that it has entered into an Agreement and Plan of Merger
among ImClone Systems Incorporated ("ImClone"), the Company and Alaska
Acquisition Corporation (the "Purchaser"), a wholly owned subsidiary of the
Company, pursuant to which the Purchaser will commence a tender offer to
purchase all of ImClone's outstanding common stock at a purchase price of $70
per share in cash. The press release is attached as Exhibit 99.1 to this Current
Report and is incorporated herein by reference.
