Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
a) ICx Technologies, Inc. (the "Company") has accepted the resignation of
Mark P. Mills from his position as Chairman of the board of directors
effective as of October 1, 2008. Mr. Mills resigned to facilitate
compliance with regulatory requirements mandating that a majority of the
board consist of members who qualify as independent under applicable
standards within one year following the initial public offering. Mr. Mills
has agreed to continue serving the Company as a member of its board of
advisors.
