Item 8.01 Other Events.
On October 1, 2008, Copano Energy, L.L.C. issued a press release announcing that it has signed a definitive purchase agreement with Transcontinental Gas Pipe Line Corporation, a subsidiary of The Williams Companies, Inc., to acquire the McMullen Lateral pipeline, a 151-mile, 24-inch pipeline extending from McMullen County, Texas, to Wharton County, Texas, and that it has received Board approval for related integration projects. Closing of the transaction is subject to receipt of necessary and requested Federal Energy Regulatory Commission authorizations, as well as customary closing conditions.
