On October 1, 2008, Flagstone Reinsurance Holdings Limited (the "Company") issued a press release announcing that it has restructured its global reinsurance operations by merging its two wholly-owned subsidiaries, Flagstone Reinsurance Limited and Flagstone Réassurance Suisse SA into one operating platform.

A copy of the press release dated October 1, 2008 announcing the effective restructure is attached as Exhibit 99.1 to this report.
