Effective September 29, 2008, U.S. Auto Parts Network, Inc. (the "Company") has retained Mehran Nia, a Director of the Company (and the former Chief Executive Officer) to provide consulting services to the Company. Mr. Nia will receive $10,000 monthly during the consulting period.
