ITEM 5.02(b) DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On September 25, 2008, Marc Roston informed Flagstone Reinsurance Holdings Limited (the "Company") that he will be resigning as a member of the board of directors of the Company. Mr. Roston ceased to be a member of board of directors effective as of September 29, 2008.

A copy of the press release dated September 29, 2008 announcing Mr. Roston's decision is attached as Exhibit 99.1 to this report.
