The last paragraph of Item 1.01 of the Current Report on 8-K filed by B&D Food Corporation on September 29, 2008 (the "Original 8-K") is hereby amended to reference the sale of its "Brazilian subsidiary BDFC ALIMENTOS" instead of its "Brazilian coffee roasting facility".
