On September 19, 2008, James D. Foy joined the Board of Directors of DealerTrack Holdings, Inc. (the "Company") as a Class I director. The three year term for Class I directors expires at the Company's 2009 annual meeting of stockholders. Mr. Foy was also appointed to the Compensation Committee and the Investment Committee of the Board of Directors. Item 7.01 Regulation FD Disclosure.
