Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In a press release issued on September 25, 2008, MAP Pharmaceuticals, Inc. (the "Company") announced that its Board of Directors had appointed Scott R. Ward as a member of the Company's Board of Directors (the "Board"), effective as of September 24, 2008. In connection with his appointment to the Board, Mr. Ward received an initial option grant of an option to purchase 30,000 shares of the Company's common stock, which will vest as to one quarter of the total number of shares subject to the option on September 24, 2009, with the remainder of the option vesting and becoming exercisable at a rate of 1/48th of the total number of shares subject to the option each month thereafter.

The Company issued a press release dated September 25, 2008 announcing the foregoing, a copy of which press release is attached hereto as Exhibit 99.1, and incorporated herein by reference.
