On August 12, 2008, Eric Pulier and Teymour Boutros-Ghali resigned as directors of the Company. Messrs Pulier and Boutros-Ghali indicated that they jointly plan to explore the possible acquisition of the Company's MediaDefender subsidiary. MediaDefender's core business is internet-piracy-protection services.
