Item 1.01 Entry into a Material Definitive Agreement.

On August 8, 2008, GSC Investment Funding LLC ("GSC Funding"), as borrower, and Deutsche Bank AG, New York Branch, as committed lender, managing agent and administrative agent entered into an amendment (the "Amendment") to the credit agreement dated as of April 11, 2007 (the "Credit Agreement"). GSC Investment Corp., as performance guarantor, (i) reaffirmed all of its obligations under
Section 12.14 of the Credit Agreement and (ii) acknowledged and agreed that the performance undertaking thereunder remains in full force and effect.
