On July 31, 2008, William L. Martin, III resigned as a member of the board of directors of TXP Corporation (the "Company"), and as a member of all committees of the board of directors of the Company in which Mr. Martin has been appointed to serve. There was no disagreement or dispute between Mr. Martin and the Company which led to his resignation.
