Item 5.02 Departure of Directors or Principal Officers; Election of
Directors; Appointment of Principal Officers
Mr. A. Ray Cecrle resigned as a Director of NASB Financial, Inc.
("the Company") effective July 18, 2008. Mr. Cecrle's resignation was
not the result of any disagreement with management pertaining to the
operations, policies or practices of the Company. Mr. Cecrle served on
the Company's Nominating, Compensation, and Audit Committees.
In the near future, the Board plans to appoint a new Director to
serve the remaining term vacated by Mr. Cecrle.
