Effective July 14, 2008, the Company terminated the employment of Mr. Richard McDowell, who was the Company's Chief Financial Officer.



Item 8.01 Other Events

As previously disclosed in the Company's Form 12b-25 Notification of Late Filing filed with the Securities and Exchange Commission (the "SEC") on June 30, 2008, the Company has not yet filed with the SEC the Company's Annual Report on Form 10-KSB for the Company's fiscal year ended March 31, 2007. The Company has retained a financial consultant to assist with the completion of the Annual Report and will file the report with the SEC as soon as possible.
