Item 7.01 Regulation FD Disclosure.
On July 10, 2008, Rohm and Haas Company announced that it has entered into an
agreement with The Dow Chemical Company, under which Dow will acquire all of the
outstanding shares of Rohm and Haas common stock. At this time, Basin Water,
Inc. believes that this transaction will not have any material effect on its
Alliance Agreement with Rohm and Haas Chemicals LLC, a subsidiary of Rohm and
Haas Company.
The information set forth under this Item 7.01, "Regulation FD Disclosure"
attached hereto, shall not be deemed "filed" for the purposes of Section 18 of
the Securities Exchange Act of 1934, as amended, nor shall it be deemed
