On June 19, 2008, Arbinet-thexchange, Inc. ("Arbinet" or the "Company") issued a press release announcing that the Board of Directors of the Company (the "Board") appointed William M. Freeman, Arbinet's current President and Chief Executive Officer, as the Chairman of the Board, and Shawn F. O'Donnell, who has served on the Board since July 2007, as its Lead Independent Director.
