On June 12, 2008, the board of directors (the "Board") of Open Energy Corporation (the "Company") adopted an amendment to the bylaws of the Company (the "Amendment") to permit the payment of a stated salary to members of the Board and members of committees of the Board. The foregoing disclosure is qualified in its entirety to the text of the Amendment filed as Exhibit 3.01 to this report.
