ITEM 5.03 AMENDMENT TO ARTICLES OF INCORPORATION OR BYLAWS

On May 20, 2008, the Board of Directors of Global Entertainment Corporation (the "Company") approved an amendment to the Company's bylaws, effective immediately, to increase the size of the Board of Directors to nine directors.

A copy of the amendment to the Bylaws is attached as Exhibit 3.1 and incorporated into this Item 5.03 by reference.
