Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Dr. Fletcher M. Lamkin resigned as a Director of NASB Financial, Inc. ("the Company") effective June 13, 2008. Dr. Lamkin's resignation was not the result of any disagreement with management pertaining to the operations, policies or practices of the Company. Dr. Lamkin served on the Company's Nominating and Compensation Committees.

On June 13, 2008, the Board of Directors of the Company elected Ms. Laura Brady to the Company's Board of Directors, effective June 24, 2008. Ms. Brady is expected to serve on the Company's Nominating and Compensation Committees. Ms. Brady is a Vice President and General Manager with Williams Foods, Inc. in Lenexa, Kansas.
