Appointment of Certain Officers; Compensatory Arrangements of
Certain Officers.
On June 10, 2008, the Company's Board of Directors accepted Mr. Stephen
Spinelli's resignation, dated June 9, 2008, from the Company's Board of
Directors effective on that date. Mr. Spinelli resigned from the Board of
Directors because he had recently entered into a new business affiliation which
could potentially lead to conflicts of interest.
