Item 1.01 Entry Into a Material Definitive Agreement

On April 1, 2008, MWI Veterinary Supply, Inc. ("MWI") and Merial Limited ("Merial") entered into a First Amendment to the 2007-2008 Merial Independent Sales Agent Agreement (the "First Amendment"), which is effective as of January 1, 2008. Under the First Amendment, the term of the Merial Independent Sales Agent Agreement was extended to December 31, 2009. The First Amendment also established the products to be sold, commission rates, bonuses, performance goals and other terms governing the parties' relationship.
