Compensatory Arrangements of Certain Officers.
On March 10, 2008, ActivIdentity Corp. (the "Company") was informed of Mark
Lustig's intention to resign as Chief Financial Officer of the Company,
effective May 9, 2008. Mr. Lustig will continue to serve as an at-will employee
of the Company until that time. The financial and other terms of Mr. Lustig's
separation with the Company will be disclosed at a later time when they have
been mutually agreed upon.
