Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On February 21, 2008, the Compensation Committee of the Board of Directors of
The Charles Schwab Corporation approved performance criteria under the Corporate
Executive Bonus Plan (CEBP) for 2008. These performance criteria include revenue
growth and pre-tax profit margin. All executive bonuses under the CEBP for 2008
will be based on overall corporate performance with respect to these criteria.
