ITEM 2.02 Results of Operations and Financial Condition.

On February 1, 2008, The Estée Lauder Companies Inc. (the "Company") issued a press release announcing its financial results for the fiscal quarter and six months ended December 31, 2007. The release also includes the Company's estimates related to its fiscal 2008 third quarter and full year net sales and diluted net earnings per common share. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
