On January 31, 2008, Matthew D. Walter, a director of Cardinal Health, Inc. (the "Company") since 2002, informed the Company that he was resigning from the Board of Directors effective the same date. Mr. Walter has indicated that his reasons for deciding to resign are personal and that he has no disagreement with the Company on any matter relating to the Company's operations, policies or practices.
