On December 14, 2007, Portec Rail Products, Inc. issued a press release
announcing the declaration of a quarterly cash dividend of $0.06 per share. The
cash dividend will be paid on December 31, 2007 to shareholders of record on
December 24, 2007. A copy of the press release announcing the dividend is
attached as Exhibit 99.1 to this report.
