As reported in the Company's Report on Form 8-K dated October 19, 2007, Mr.
Cardoso was elected a member of the board on October 19, 2007. On December 11,
2007 the Board of Directors of The Stanley Works appointed Mr. Carlos M. Cardoso
to the Compensation & Organization and Corporate Governance Committees of the
Board of Directors.
