Item 8.01 Other Events.

The Stanley Works announced today that its Board of Directors has adopted a resolution authorizing the repurchase, from time to time, of up to 10 million shares of the company's common stock in open market purchases, tender offers and privately negotiated transactions. This information was announced in a press release dated December 12, 2007 which is attached hereto and incorporated herein by reference as Exhibit 99.1.
