Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 6, 2007, the Registrant's board of directors adopted an amendment to the Registrant's By-Laws to permit electronic securities recordation. The By-Laws as amended and restated are attached as Exhibit 3.1 to this report.
